Mississippi does not have franchise or business opportunity laws. However, a franchisor must still comply with the federal regulations established under the Federal Trade Commission (“FTC”) Franchise Rule when offering and selling franchises in the state of Mississippi.
Mississippi defines a Franchise as a written arrangement and for consideration of $100 or more “grants to another person a license to use a trade name, trademark, service mark, or related characteristic, and in which there is a community of interest in the marketing of goods or services at wholesale, retail, by lease, agreement or otherwise.” Miss. Code Ann. § 75-24-51.
Mississippi is not a franchise registration state and does not require a franchise filing or registration before a franchisor can offer or sell franchises in Mississippi.
A franchisor must have a current FTC-compliant FDD to offer or sell franchises in Mississippi and comply with the Franchise Rule disclosure timing provisions.
Mississippi law prohibits terminating or failing to renew a Franchise Agreement without giving a 90-day notice. Miss. Code Ann. §§ 75-24-53.
