Oklahoma does not have franchise laws. However, a franchisor must still comply with the federal regulations established under the Federal Trade Commission (“FTC”) Franchise Rule when offering and selling franchises in the state of Oklahoma.
In addition, Oklahoma has business opportunity laws with registration requirements.
Oklahoma is not a franchise registration state and does not require any type of franchise filing or registration for a franchisor to offer or sell franchises in Oklahoma.
However, a franchisor must have a current FTC compliant FDD to offer or sell franchises in Oklahoma and comply with the Franchise Rule disclosure timing provisions.
There are no franchise laws that specifically govern the franchise relationship or termination of a franchisee in Oklahoma.
Oklahoma’s Business Opportunity Laws define a “Business Opportunity” as a contract or agreement, where the seller provides products, equipment, supplies or services enabling the purchaser to start a business that does not exceed $500 (Okla. Stat. tit. 71, § 803) and the seller represents directly or indirectly, orally or in writing, that:
(1) The seller or a person recommended by the seller will provide or assist the purchaser in finding locations for the use or operation of vending machines, racks, display cases or other similar devices, on premises neither owned nor leased by the purchaser or seller;
(2) The seller or a person recommended by the seller will provide or assist the purchaser in finding outlets or accounts for the purchaser’s products or services;
(3) The seller or a person specified by the seller will purchase any or all products made, produced, fabricated, grown, bred or modified by the purchaser;
(4) The seller guarantees that the purchaser will derive income from the business which exceeds the price paid to the seller;
(5) The seller will refund all or part of the price paid to the seller, or repurchase any of the products, equipment or supplies provided by the seller or a person recommended by the seller, if the purchaser is dissatisfied with the business;
(6) The seller will provide a marketing plan. Okla. Stat. tit. 71, § 802
Franchises are excluded from the Business Opportunity Laws. Okla. Stat. tit. 71, § 803.
